General Terms and Conditions of Sale

Digital Services

1. Presentation and Scope of Application

These General Terms and Conditions of Sale (hereinafter the “GTC”) define the contractual terms applicable to the digital services provided by TP Results, a company established in Brussels, hereinafter referred to as the “Service Provider”, to its professional clients, hereinafter referred to as the “Client”.

The GTC apply to all service orders, unless specific conditions are expressly agreed in writing between the parties.

2. Acceptance of the Terms

Any order, signature of a quotation, electronic validation or payment of a deposit implies full and unconditional acceptance by the Client of these GTC, to the exclusion of any other document.

The Client acknowledges having read the GTC prior to entering into the contract.

3. Description of the Services

TP Results provides, in particular, services related to:

  • digital strategy and marketing,

  • search engine optimization and advertising (SEO/SEA),

  • creation or optimization of websites,

  • management of advertising campaigns,

  • digital consulting and related services.

The exact nature, scope and objectives of the services are defined in the quotation or order form accepted by the Client.

4. Orders and Contract Formation

An order becomes firm and final upon:

  • signature of the quotation or order form, or

  • written validation (including by electronic means), or

  • full or partial payment of the service.

Any cancellation occurring after validation may result in partial invoicing of services already performed, as well as a reasonable fixed compensation intended to cover costs incurred.

5. Prices and Payment Terms

Prices are expressed in euros, exclusive of taxes, and correspond to those indicated in the offer accepted by the Client.

Unless otherwise agreed:

  • deposits may be required at the start of the project,

  • the balance is payable according to the payment schedule specified in the quotation.

Any invoice not paid by the due date may, by operation of law and without prior notice, give rise to:

  • late payment interest in accordance with Belgian legislation,

  • a fixed compensation for recovery costs.

6. Cooperation and Client Obligations

The Client undertakes to actively cooperate with TP Results and to provide, within reasonable timeframes, all information, content and validations required for the proper performance of the services.

Any delay or failure by the Client may result in an extension of deadlines or a temporary suspension of services, without TP Results being held liable.

7. Intellectual Property

Unless otherwise expressly agreed in writing:

  • TP Results retains all intellectual property rights relating to the elements, methods, tools and content it develops.

  • A non-exclusive license of use is granted to the Client, limited to the intended use within the scope of its professional activity.

The rights to the content provided by the Client remain its property. The Client guarantees that it holds all necessary rights for its use.

8. Liability

TP Results is bound by an obligation of means in the performance of its services.

Its liability may only be incurred in the event of proven fault and is, in any case, limited to the amount actually paid for the service concerned.

TP Results shall not be held liable for indirect damages, loss of revenue, loss of data, damage to reputation or any commercial loss.

9. Duration and Termination

The contract is concluded for the duration specified in the quotation or order form.

Either party may terminate the contract in the event of a serious breach by the other party, not remedied within a reasonable period following written notice.

In the event of early termination without valid cause, services already performed shall remain payable and a proportionate compensation may be applied.

10. Subscriptions and Renewal

Where services are provided on a subscription basis, the subscription is concluded for the initial duration specified and may be renewed by tacit agreement, unless terminated in writing within the agreed notice period.

Termination and billing terms are specified in the contractual offer.

11. Confidentiality

Each party undertakes to keep strictly confidential all information exchanged in the context of the performance of the contract and not to disclose such information to third parties without prior authorization.

This obligation shall survive the termination of the contractual relationship.

12. Personal Data and GDPR

The parties undertake to comply with the applicable regulations on the protection of personal data, in particular Regulation (EU) 2016/679 (GDPR).

Each party acts as data controller for the data it processes in the context of its own activities.

13. Force Majeure

Neither party may be held liable for non-performance resulting from an event of force majeure as recognized under Belgian law.

14. Commercial References

Unless expressly opposed by the Client in writing, TP Results reserves the right to mention the Client’s name and project as a commercial reference.

15. Applicable Law and Jurisdiction

These GTC are governed by Belgian law.

In the event of a dispute, the courts of the judicial district of Brussels shall have exclusive jurisdiction.
